1.1 OEM PURPOSE & AUTHORIZATION: This Mutual Non-Disclosure Agreement (the “Agreement”) establishes the binding legal perimeter between the Theron International Foundation (TIF) and the undersigned entity. This Agreement encompasses the proprietary technologies of TIF and its Original Equipment Manufacturers (OEMs), including but not limited to Permanent Magnetic Energy, Theron Energy, Theron H2O, and Theron Generators. All “Theron Infrastructure Assets”—including TRON GENSETS, ATMAG GENSETS, and associated kinetic/atmospheric technologies—are protected assets of the TIF Foundation, an American 508(c)(1)(a) entity. The signatory entity is recognized herein as an “Industrial/Commercial Integrator” or “Authorized Equipment Dealer.” 1.2 PROTECTION OF RAW SPECIFICATIONS: The Commercial Integrator acknowledges that access to engineering schematics, modular power block configurations, and proprietary turbine blueprints is granted solely for the purpose of authorized system integration. These assets constitute highly proprietary American trade secrets. The Integrator is strictly prohibited from removing, transferring, or disclosing these specifications outside of U.S. Territories or the USA. Protected data includes, but is not limited to: internal turbine blueprints, mechanical load clearance schematics, high-speed alternator configurations, and closed-loop liquid thermal pump curves. Any unauthorized replication, reverse engineering, or disclosure is a material breach of this Agreement. 1.3 COMMERCIAL FINALITY & LIQUIDATED DAMAGES: Execution of this Agreement establishes the baseline confidentiality status required for hardware procurement. Pricing for all Theron Infrastructure Assets is reflective of current high-performance material indices; due to the non-fungible, custom-engineered nature of these units, all orders are final upon the expiration of the statutory 3-day cancellation window. All proprietary data remains the exclusive property of the TIF secure architecture. Any breach of these technical parameters or unauthorized commercial activity carries immediate liquidated damages, enforceable under the Sovereign Commercial Code. |
